Official License – Made by EAPES

Effective Date: May 15, 2025

1. Purpose

This license governs the "Made by EAPES" program, which permits verified EAPES NFT holders to use the "Made by EAPES" label on their derivative products, services, or content, subject to strict compliance with the conditions outlined below. Its purpose is to foster creativity while safeguarding the integrity and reputation of the EAPES brand.

2. Eligibility

To be eligible for this license, you must:

• Hold an EAPES NFT on either the MultiversX or Solana blockchain.
• Submit an application via legal@eapes.com , clearly describing your project or product.
• Obtain explicit approval from EAPES, granted at its sole discretion based on factors such as project quality and alignment with EAPES values.

Note: EAPES reserves the right to revoke this approval at any time, with or without cause.

3. Authorized Use

Provided you continuously comply with these terms, you may:

• Display the "Made by EAPES" badge on derivative products (e.g., T-shirts, posters, digital content) in accordance with EAPES brand guidelines available at https://bit.ly/3S91fO4
• Use the image of your EAPES NFT in your visual identity or creative projects, provided it relates to the approved project and does not imply official affiliation with EAPES.
• Commercialize your derivative works without revenue limits, explicitly crediting EAPES as the source of the original work. Any commercial use must be declared in your initial application and pre-approved by EAPES.

4. Cryptographic Verification of NFT Ownership

Any third-party platform, application, service, or entity displaying or utilizing the “Made by EAPES” label must perform cryptographic verification to confirm that the user is the legitimate holder of an EAPES NFT. This verification may be conducted through APIs provided by EAPES or through reputable third-party services that specialize in NFT ownership validation. Failure to perform such verification will render the use of the “Made by EAPES” label unauthorized. Non-compliance may result in immediate suspension or revocation of the license without prior notice.

5. Restrictions

You are strictly prohibited from:

• Suggesting official affiliation, partnership, or endorsement by EAPES without explicit written authorization.
• Associating the "Made by EAPES" label with inappropriate, illegal, defamatory, obscene, or reputation-damaging content.
• Claiming intellectual property rights over the EAPES brand or any content owned by EAPES.
• Transferring, selling, or assigning the label or license rights to another person or entity.

6. Community Feedback

You are encouraged to submit ideas or suggestions to legal@eapes.com. By submitting a suggestion, you grant EAPES a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, modify, and exploit these ideas for any purpose without compensation. EAPES will strive to acknowledge your contribution where feasible.

7. User Responsibilities

• You bear full responsibility for the security of your digital wallet, private keys, and all transactions related to your NFT. EAPES disclaims liability for any loss, theft, or compromise.
• You agree to comply with all applicable laws and regulations, particularly those concerning intellectual property and data protection.

8. Duration and Termination

This license is non-exclusive, revocable, and non-transferable. EAPES may terminate or suspend it at any time, at its sole discretion, particularly in cases of:

• Breach of these terms.
• Use of the label that harms EAPES or its community.
• Sale or transfer of your EAPES NFT.

Upon termination, you must immediately cease all use of the "Made by EAPES" label.

9. Legal Status

This license does not establish any partnership, affiliation, or employment relationship between you and EAPES. You assume full legal responsibility for your creations and use of the label. Any disputes will be governed by the laws of the Province of Quebec, Canada, and subject to the exclusive jurisdiction of the courts of Montreal.
