MBA EAPES License

Effective Date: May 15, 2025

1. Purpose

The "MBA EAPES License" (hereinafter "MBA License") is an exclusive license designed to authorize strategic partnerships, advanced collaborations, or specific commercial projects with EAPES. It grants broader rights than the "Made by EAPES" license and is reserved for projects selected by invitation or explicit approval from EAPES. This license aims to promote large-scale initiatives while ensuring alignment with EAPES's objectives and values.

2. Eligibility

To be eligible for the MBA License, you must meet the following conditions:

• Receive a direct invitation from EAPES or obtain explicit approval after submitting an application.
• Be a holder of an EAPES NFT (on MultiversX or Solana).
• Submit a detailed proposal of your project or partnership through the process designated by EAPES, including:
  • A complete description of the project.
  • The intended objectives.
  • The mutual benefits for you and EAPES.
  • The resources committed.
• Obtain written approval from EAPES, granted at its sole discretion after evaluation based on criteria such as innovation, impact on the EAPES community, and strategic alignment.

3. Authorized Use

Subject to a separate written agreement specific to each project, you are authorized to:

• Use the EAPES brand within the framework of the approved project, according to the terms negotiated and specified in the agreement.
• Collaborate with EAPES to develop joint projects or co-branded products, subject to the conditions defined in the partnership agreement.
• Benefit from extended commercial rights, as detailed and limited in the specific written agreement for the project.

Each use must be explicitly approved by EAPES in advance.

4. Restrictions

You are strictly prohibited from:

• Using the EAPES brand or any associated assets without explicit written authorization for each use.
• Committing EAPES to financial, contractual, or other obligations without prior written agreement.
• Claiming rights over EAPES's assets, intellectual property, or trademarks.
• Disclosing confidential information obtained in the context of the collaboration, except with express authorization from EAPES.
• Engaging in direct competitive activities with EAPES during the license period and for any period specified in the specific agreement, if applicable.

5. Duration and Termination

The MBA License becomes effective on May 15, 2025, and is revocable at any time by EAPES, particularly in the event of:

• Breach of the terms of this license or the specific agreement.
• Behavior harmful to EAPES's reputation or interests.
• Failure to comply with the obligations defined in the partnership agreement.

Specific duration and termination conditions will be detailed in the written agreement for each project. In the event of termination, you must:

• Immediately cease all use of the EAPES brand and associated assets.
• Comply with the post-contractual obligations defined in the specific agreement.

6. Legal Status

This license, together with the specific agreement for each project, aims to facilitate a collaboration between you and EAPES, in accordance with the terms agreed upon jointly. Each party commits to respecting its legal and contractual obligations in a spirit of cooperation and good faith.

In the event of a disagreement or dispute arising from this license or the associated agreements, the parties will endeavor to find an amicable solution. If an amicable resolution is not possible, any dispute will be governed by the laws of the Province of Quebec, Canada, and subject to the jurisdiction of the courts of Montreal, unless otherwise provided in the specific agreement.
